Terms & Conditions

These Terms and Conditions (hereinafter, the "Terms") govern access to and use of the real estate crowdlending platform operated by Xenlimo SpA (hereinafter, "Xenlimo" or "the Platform"). By accessing or using the Platform, you fully accept these Terms. If you do not agree with any of them, we ask that you do not use the Platform.

1. Service Provider Identification

Xenlimo SpA, with RUT 77.345.678-9, domiciled at Av. Apoquindo 4700, Office 1502, Las Condes, Santiago, Metropolitan Region, Chile. Registered at the Commerce Registry of the Real Estate Conservator of Santiago under No. 45.892-2024. Incorporated in 2024 under the laws of the Republic of Chile. 2. Nature of the Service

Xenlimo operates as a technology platform that connects investors with real estate development and construction projects in Chile. The Platform facilitates the crowdlending process, allowing multiple investors to contribute capital to specific projects. Xenlimo does not act as a banking entity or securities firm. The Platform does not guarantee returns or investment yields.

3. Registration Requirements

To use the Platform's investment services, you must: be at least 18 years old; have legal capacity to enter into contracts in Chile; provide truthful and up-to-date information; complete the identity verification process in accordance with current anti-money laundering and counter-terrorism financing regulations. Xenlimo reserves the right to reject or cancel registrations that do not meet these requirements.

4. Investments and Risks

All investments made through the Platform carry risks inherent to the real estate and financial markets. Past returns do not guarantee future results. Before investing, we recommend carefully evaluating your financial situation and, if necessary, consulting with an independent financial advisor. Xenlimo is not responsible for losses arising from investment decisions made by users.

5. User Obligations

As a user of the Platform, you agree to: use the Platform only for its intended purposes; maintain the confidentiality of your access credentials; not use the Platform for unlawful activities or activities contrary to morality and public order; immediately notify any unauthorized use of your account; and keep your personal and financial data up to date.

6. Intellectual Property

All content on the Platform, including texts, graphics, logos, images, software, and design, is the property of Xenlimo or its licensors and is protected by Chilean and international intellectual property law. The reproduction, distribution, modification, or use of this content without prior written authorization from Xenlimo is prohibited.

7. Limitation of Liability

Xenlimo shall not be liable for: temporary service interruptions due to maintenance or force majeure; damages arising from misuse of the Platform by users; investment losses resulting from real estate market fluctuations; or the conduct of third parties involved in investment projects. Xenlimo's maximum liability is limited to the amount actually invested by the user in the transaction subject to the claim.

8. Modifications

Xenlimo reserves the right to modify these Terms at any time. Modifications will be notified to registered users by email and published on the Platform at least 30 days before their effective date. Continued use of the Platform after the effective date of the modifications implies acceptance of the new Terms.

9. Applicable Law and Jurisdiction

These Terms are governed by the laws of the Republic of Chile. Any dispute arising from the interpretation or execution of these Terms shall be submitted to the jurisdiction of the ordinary courts of Santiago, Chile, with the parties waiving any other jurisdiction that may correspond to them.

10. Dispute Resolution

Before resorting to judicial proceedings, the parties commit to attempting to resolve any dispute in good faith through direct negotiation. If the dispute is not resolved within 30 days, either party may submit the matter to mediation before the Arbitration and Mediation Center of the Santiago Chamber of Commerce. If no agreement is reached in mediation, the dispute will be resolved by the competent courts of Santiago.
